CogniBios Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the CogniBios mobile application, web application, and related services (collectively, the “App” or the “Services”) operated by CogniBios (“CogniBios,” “we,” “us,” or “our”).

By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

1. Important Medical Disclaimer

  • CogniBios is not intended for the diagnosis, treatment, cure, or prevention of any disease or medical condition.

  • All health‑related information, recommendations, assessments, scores, and content provided through the App are for educational and informational purposes only and do not constitute medical advice.

  • The App does not provide medical advice, diagnosis, or treatment and does not replace consultation with a licensed healthcare professional.

  • You must always consult with a licensed healthcare provider before making any changes to your diet, exercise routine, medications, or overall health regimen, especially if you have existing medical conditions or take prescription or over‑the‑counter medications.

  • In case of a medical emergency, call 911 or your local emergency services immediately. Do not rely on the App in an emergency.

2. Acceptance of Terms

By accessing or using the App in any manner, including by downloading, installing, or creating an account, you agree to be bound by these Terms and by any additional policies referenced in these Terms (such as the Privacy Policy).

If you do not agree to these Terms, you must immediately discontinue use of the App.

3. Description of the Service

CogniBios is a wellness‑focused tracking and coaching application designed to help users monitor and improve lifestyle habits based on principles of lifestyle medicine. Features may include:

  • Tracking of meals, physical activity, sleep, and stress levels.

  • AI‑powered wellness coaching suggestions.

  • Lifestyle and health assessments.

  • Tools to request or schedule consultations with healthcare providers.

The App is intended for general wellness support and education only. Features and functionalities may change, be added, or be removed at any time at our discretion.

4. No Medical Advice

  • Any information, including health scores, AI coach responses, meal analyses, lifestyle recommendations, educational content, or other outputs generated by the App, is provided for general informational and educational purposes only.

  • The App does not take into account your complete medical history, current medications, or all relevant clinical factors.

  • You must not rely on the App as a substitute for professional medical advice, diagnosis, or treatment.

  • Never disregard, avoid, or delay obtaining medical advice from a qualified healthcare professional because of information obtained through the App.

Your use of the App does not create a doctor–patient relationship between you and CogniBios or between you and any healthcare professional mentioned or accessible through the App.

5. User Responsibilities

By using the App, you agree to:

  • Provide accurate, current, and complete information where requested and to update it as needed.

  • Use the App only for lawful purposes and in accordance with these Terms.

  • Not rely solely on the App for any health‑related decisions.

  • Seek advice from qualified healthcare professionals regarding any medical questions or conditions.

  • Maintain the confidentiality of your account credentials and restrict access to your device to prevent unauthorized use of your account.

  • Notify us promptly of any actual or suspected unauthorized access to your account.

You are solely responsible for all activity that occurs under your account.

6. AI Health Coach Limitations

The AI health coach and related AI‑driven features are designed to provide general wellness suggestions based on lifestyle medicine principles, including those promoted by organizations such as the American College of Lifestyle Medicine (ACLM). You acknowledge and agree that:

  • Suggestions from the AI coach are not personalized medical recommendations and do not constitute medical advice.

  • AI outputs do not consider your full medical history, laboratory results, or all relevant clinical data.

  • AI responses may be incomplete, out of date, or not appropriate for your specific situation.

  • AI suggestions must not be used to make or delay urgent medical decisions.

You remain solely responsible for how you use any information or suggestions received from the AI coach and must always verify important health decisions with a licensed healthcare professional.

7. Consultation Services

The App may provide tools to request or schedule consultations with healthcare providers, including Dr. Anna Handa or other clinicians. You understand and agree that:

  • Any consultation arranged through or referenced by the App is a separate professional service, governed by its own terms, consents, and professional standards.

  • Fees, informed consent, and clinical obligations related to such consultations are determined by the healthcare provider, not by CogniBios, unless expressly stated otherwise.

  • CogniBios is not responsible for the medical or professional services provided by any independent healthcare provider.

You should review and agree to any separate terms or consent forms provided by the relevant healthcare provider before engaging in a consultation.

8. Subscriptions, Fees, and Payments

Certain features of the App may require payment of fees, including subscription fees.

8.1 Apple In‑App Subscriptions

If you subscribe through the Apple App Store:

  • Payment is charged to your Apple ID / iTunes account at confirmation of purchase.

  • Subscriptions automatically renew unless auto‑renew is turned off at least 24 hours before the end of the current billing period.

  • Your Apple account is charged for renewal within 24 hours prior to the end of the current period, at the then‑current subscription price.

  • Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription.

  • You can manage or disable auto‑renewal at any time by going to your Apple ID Account Settings after purchase.

  • Your use of the App through Apple is also governed by the Apple Standard Licensed Application End User License Agreement, available at:

8.2 General Subscription Terms

  • By starting a paid subscription, you agree to pay all applicable fees, taxes, and charges associated with your chosen plan.

  • Prices and subscription offerings may change over time, and any changes will take effect at the start of the next billing period after notice, where required.

  • Except where required by law or expressly stated otherwise, subscription fees are non‑refundable.

9. Intellectual Property

The App, including its design, text, graphics, images, software, and other content, is owned by CogniBios or its licensors and is protected by intellectual property laws.

Subject to these Terms, CogniBios grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the App for your personal, non‑commercial use.

You may not:

  • Copy, modify, distribute, sell, lease, or create derivative works based on the App or its content, except as expressly permitted by law.

  • Reverse engineer, decompile, or attempt to extract the source code of the App, except where permitted by applicable law.

  • Use any trademarks, logos, or brand features without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • CogniBios, its officers, directors, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the App, including without limitation damages for loss of profits, data, goodwill, or other intangible losses.

  • CogniBios’ total aggregate liability arising from or relating to the App or these Terms shall be limited to the greater of (a) the amount you paid to CogniBios for access to the App in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow limitations on implied warranties or the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such cases, CogniBios’ liability shall be limited to the greatest extent permitted by law.

11. Disclaimers

The App and all content and services provided through the App are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, CogniBios disclaims all warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement.

CogniBios does not warrant that the App will be uninterrupted, secure, or error‑free, or that any defects will be corrected, or that the App will meet your requirements.

12. Changes to the App and to These Terms

We may modify, suspend, or discontinue any part of the App at any time, with or without notice.

We may update these Terms from time to time. When we make material changes, we will update the “Last Updated” date above and may provide additional notice (such as in‑App notifications or email).

Your continued use of the App after the effective date of any revised Terms constitutes your acceptance of those revised Terms. If you do not agree to the revised Terms, you must stop using the App.

13. Termination

We may suspend or terminate your access to the App at any time, with or without notice, if we believe:

  • You have violated these Terms or any applicable law.

  • Your use of the App poses a risk to CogniBios or to other users.

  • Continued provision of the App is no longer commercially or legally viable.

You may stop using the App at any time and may delete your account if such functionality is available.

Upon termination, your right to use the App will cease immediately. Sections that by their nature should survive termination (such as intellectual property, disclaimers, limitation of liability, and dispute provisions) shall survive.

14. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them or the App shall be governed by and construed in accordance with the laws of the state or country where CogniBios is organized, without regard to its conflict‑of‑laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App may be subject to mandatory arbitration, mediation, or exclusive jurisdiction of certain courts, as specified in a separate jurisdiction clause you may add here in consultation with legal counsel.
